Subscription based sales. Mod Development Required

I'm looking for a subscription based module with the following requirements.

Currently running OC 2.5x
Theme is a modified basic theme currently
Planning to move to 3x +Journal3 in the next 6-12 months

We are looking at opening up a few subscription offers to our existing customer base.

Subscription sales is a massive market opportunity with the potential to secure a dependable fixed annuity income.
Frankly I am surprised that none of the leading Developers have created something like this yet.

I need the module to do the following.

Support multiple subscriptions per customer.
Allow access to certain categories / products at no cost. (quantity or time based)
Allow free shipping under x conditions
Allow automatic discounts on certain products / categories. (quantity or time based)
Option to combine selected subscriptions into a single subscription at a discounted offer.
The customer must be able to manage their subscription(s) automatically.
Have auto recurring billing and/or once-off billing on all or selected subscription offers or customers as required
Auto/recurring payments must be configurable to Monthly, biannually and/or annually as per admin preference.
Subscriptions paid in advance can have an X discount.
Options for an X-day trial of the subscription at a lower / entry offer with automatic full billing after expiry of trial.
Force payment types for subscriptions i.e. CC or PayPal
Pro-rata refund option on cancellations. Must be optional in admin
Track / penalize or back-charge customers that abuse the subscription system. i.e. try to subscribe and unsubscribe to game the system.

Finally will your module and settings need to remain intact when we migrate from 2.3 to 3.x

If anyone would like to try their hand at this, a serious discussion would be appreciated.
